Welcome to LogosBibleStudy.org, the Internet’s premier online bible study education resource, operated by Logos Educational Corporation ("Logos"). By using or becoming a Member of the Logos Bible Study Website (the "Website"), you agree to be bound by this Logos Bible Study Terms of Use Agreement (the "Agreement"). If you object to anything in this Agreement or to the Logos Privacy Policy ("Privacy Policy"), do not continue to use the site as a visitor or register to become a Member of the Website.
If you wish to become a Member so that you can take full advantage of the interactive features and services provided by the Website (collectively, the "Member Services"), please read this Agreement carefully and indicate your consent to be bound by the terms of this Agreement by selecting the "Agreed" box below. Please note that the terms of this Agreement may be changed by Logos at any time. Any changes will be effective immediately upon the posting of such changes on the Website, and your use of your Member privileges after such posting will constitute acceptance by you of such changes.
1. Acceptance of Agreement.
(a) Electronic Agreement. This Agreement is an electronic contract that sets out the legally binding terms applicable to your Member privileges. This Agreement includes information regarding Logos's policies relating to the posting by Members of content on the Website. This Agreement also includes the Logos Privacy Policy and the Logos Payment Terms, which are attached to this Agreement as Addendum "A" and Addendum "B," respectively, and are incorporated herein by this reference. By registering to become a Member of the Website, you accept this Agreement and agree to the terms, conditions and notices contained and/or referenced herein.
(b) Electronic Form. By registering to become a Member, you consent to have this Agreement provided to you in electronic form.
(c) Non-electronic Copy. You have the right to receive a copy of this Agreement in non-electronic form. You may print a copy by selecting the PRINT button below or request a non-electronic copy of this Agreement either before or after you electronically sign the Agreement. To receive a non-electronic/ printed copy of this Agreement, send a self-addressed 9" by 12" envelope, with $1.56 postage prepaid to: Logos Educational Corporation,
(d) Withdrawing Your Consent. If you are a Member, you have the right at any time to withdraw your consent to have this Agreement provided to you in electronic form.
(i) Effect. If you choose to withdraw your consent to have this Agreement provided to you in electronic form, we will discontinue your then-current Member username and password. This means that you will not have the right to use the Member Services unless, and until, we issue you a new username and password. We will issue you a new username and password only after we receive a signed copy of a non-electronic version of this Agreement, which we will send to you upon request.
(ii) Notice. To withdraw your consent, please send an email to membership@LogosBibleStudy.org or a letter to: Logos Educational Corporation,
(iii) Prospective Nature. Your withdrawal of consent will be effective within a reasonable time after we receive your withdrawal notice described above. Your withdrawal of consent will not affect the legal validity or enforceability of the Agreement electronically signed by you prior to the effective date of your withdrawal.
(e) Access and Retention. Please print a copy of this Agreement for your records. In order to access and retain a copy of this electronic Agreement, you must have access to the World Wide Web, either directly or through devices that access web-based content, and pay any service fees associated with such access. In addition, you must use all equipment necessary to make such connection to the World Wide Web, including a computer and modem or other access device. To retain an electronic copy of this Agreement, you may save it into any word processing program. Through the Website, we will notify you of any changes in the hardware or software requirements needed to access and/or retain this Agreement or changes that create a material risk that you will not be able to continue to access and/or retain this electronic Agreement.
2. Eligibility. You must be at least eighteen (18) years of age to register as a Member of the Website and/or to use the Member Services. Website Membership is void where prohibited by law. By registering to become a Member and/or using the Member Services, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. You also represent, warrant and agree that all information you provide to Logos in your Member profile will, at all times, be accurate, current and complete.
3. Membership; Pricing. You may become a Trial Member of the Website for thirty (30) days at no cost. As a Trial Member, you will have the ability to participate in some, but not all, of the Member Services offered by the Website. In order to access the full range of Member Services, including the ability to access and download content in a variety of formats and to communicate with other Members, you must become a paying Member. Please see the JOIN NOW page for a description of the current Membership plans and prices. Please note that the Membership policies disclosed at the time you become a Member are part of this Agreement. Please see Logos Payment Terms for a description of such policies. From time to time, Logos may remove the profiles of non-Members.
4. Term. This Agreement will remain in full force and effect throughout the time you are a Member, and certain provisions of this Agreement will survive the termination of this Agreement (including, but not limited to, your obligations relating to Logos's proprietary rights in the Website set forth in Section 7 below, your representations, warranties and obligations relating to content posted on the Website by you set forth in Sections 8 and 11 below and your indemnity obligations set forth in Section 16 below).
(a) Termination of Membership by You. You may terminate your Membership at any time, for any reason, by following the instructions at on the My Account page, by sending written notice of termination to Logos Educational Corporation,
(b) Termination of Membership by Logos. Logos may terminate your Membership at any time, in its sole and absolute discretion. Termination may be for cause (including, without limitation, your infringement of the intellectual property rights of any third person or posting of inappropriate material to the Website) or for no cause. Termination shall be effective immediately upon the sending by Logos of notice to you at the email address you provide in your application for Membership, or at such other email address as you may later provide to Logos. If Logos terminates your Membership, Logos will refund to you any unused Membership fees. Logos is not required to disclose, and may be prohibited from disclosing, the reason for the termination of your Membership. After your Membership is terminated, all provisions that, by their nature, may survive the termination of this Agreement shall be deemed to survive such termination and you will continue to be obligated to perform and/or adhere to such surviving provisions.
5. Non-Commercial Use by Members. The Member Services are for the personal use of individual Members only. Organizations, companies and/or businesses may not become Members and may not use the Member Services for any purpose. The Member Services may not be used by anyone in connection with any commercial endeavors. Illegal and/or unauthorized uses of the Member Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website, may be investigated and appropriate civil, criminal and/or injunctive action will be taken. Use of the Member Services is with the permission of Logos, which may be revoked at any time, for any reason, in Logos's sole discretion.
6. Account Security. You are responsible for maintaining the confidentiality of the username and password that you designate during the registration process, and you are fully responsible for all activities that occur under your username and password. You agree to: (a) immediately notify Logos of any unauthorized use of your username or password or any other breach of security; and (b) ensure that you exit from your account at the end of each session. Logos will not be liable for any loss or damage arising from your failure to comply with this provision. You should use particular caution when accessing your Member account from a public or shared computer so that others are not able to view or record your password or other personal information.
7. Proprietary Rights to Logos Content on the Website. William C. Creasy, Logos and/or their affiliates own and retain all proprietary rights in the Website, the Member Services and the content on the Website posted by Logos. The Website contains the copyrighted material, trademarks and other proprietary information of Logos, its affiliates and its licensors. Except for that information which is in the public domain or as to which you have been given prior written permission, you may not copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary information.
8. Content Posted by You on the Website.
(a) Obligations Regarding Posting of Content. You are solely responsible for the material, including, without limitation, opinions, advise, statements, offers, messages, emails, photos, profiles and other information that you publish or display (hereinafter, "post") on the Website or transmit to other Members. You agree that you will not post on the Website or transmit to other Members any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You agree that you will not provide inaccurate, misleading or false information to Logos or to any other Member. If information provided to Logos or to another Member subsequently becomes inaccurate, misleading or false, you agree that you will promptly notify Logos of such change.
(b) Reliance on Content, Advice, Etc. William C. Creasy, Logos and their affiliates are not responsible for content posted on the Website by Members ("Member Content"). The authors of such Member Content are solely responsible for such Member Content. William Dr. Creasy, Logos and their affiliates do not: (i) guarantee the accuracy, completeness or usefulness of any Member Content; or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any Member Content. Under no circumstances will Logos or its affiliates be responsible for any loss or damage resulting from your reliance on Member Content.
(c) Logos's Right to Delete Member Content from Website. You understand and agree that Logos may review and delete from the Website any Member Content, in whole or in part, that, in the sole judgment of Logos: (i) violates this Agreement; (ii) might be offensive or illegal; (iii) might harm or violate the rights or threaten the safety of Members and/or other users of the Website; and/or (iv) might infringe the intellectual property rights of any third party.
(d) Representations and Warranties Regarding Member Content. By posting Member Content to the Website, you represent and warrant that the posting of such Member Content on the Website will not infringe or violate the rights of any third party.
(e) Relinquishment of Rights to Member Content. By posting Member Content to the Website, you understand, acknowledge and irrevocably agree that you are relinquishing, now and for all times, any and all proprietary rights in or to such Member Content.
(f) Logos's Right to Use Member Content. By posting Member Content to the Website, you understand, acknowledge and irrevocably agree that:
(i) Logos's public posting and use of the Member Content will not infringe or violate the rights of any third party; and
(ii) Logos and its affiliates may use, copy, perform, display, reproduce, adapt, modify and distribute such information and Member Content and/or prepare derivative works of, or incorporate into other works, such information and Member Content.
(g) Prohibited Member Content. The following is a partial list of the kind of Member Content that is illegal or prohibited on the Website. Logos reserves the right to investigate and take appropriate legal action, in its sole discretion, against anyone who violates this provision, including without limitation, removing the offending Member Content from the Website and terminating the Membership of violators. Illegal and prohibited Member Content includes, but is not limited to, Member Content that:
• is patently offensive to the online community, such as Member Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
• harasses or advocates harassment of another person;
• involves the transmission of "junk mail," "chain letters," unsolicited mass mailing or "spamming";
• promotes information that you know is false or misleading, promotes illegal activities or promotes conduct that is abusive, threatening, obscene, defamatory or libelous;
• promotes the illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices or providing pirated images, audio or video, or links to pirated images, audio or video files;
• contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);
• provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under the age of 18;
• provides instructional information about illegal activities, such as making or buying illegal weapons, violating someone's privacy or providing or creating computer viruses;
• solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and
• engages in commercial activities and/or sales without the prior written consent of Logos, such as contests, sweepstakes, barter, advertising and pyramid schemes.
(h) Your Obligation to Comply with Applicable Laws and Regulations. Your use of the Website, including, but not limited to the Member Content you post on the Website, must be in accordance with any and all applicable laws and regulations.
(i) Prohibition Against Posting Personal Indentifying or Sensitive Information. You may not include in your public posting on the Website any telephone numbers, street addresses, last names, URLs or email addresses. You will not post sensitive financial information on the Website.
(j) Prohibition Against Posting Identifying or Sensitive Information of Others. You will not post anyone's identification, identifying information or sensitive financial information on the Website.
(k) Prohibition Against Advertising and Solicitation. You may not engage in advertising to, or solicitation of, other Members. This includes, but is not limited to, solicitation or advertising to buy or sell any products or services through the Website or to attend parties or other social functions or networking for commercial purposes. You may not transmit any chain letters or junk email to other Members. Although Logos cannot monitor the conduct of its Members off the Website, it is also a violation of these rules to use any information obtained from the Website to harass, abuse or harm another person, or in order to contact, advertise to, solicit or sell to any Member without their prior explicit consent. In order to protect the Members from such advertising or solicitation, Logos reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which Logos deems appropriate in its sole discretion.
(l) Prohibition Against Gathering the Personal Information of Other Members and/or Users. You may not gather the personal information of other Members or users of the Website for your personal use.
9. Prohibited Activities. Logos reserves the right to investigate and terminate your Membership if you misuse the Website or if you behave in a way which could be regarded as inappropriate, unlawful or illegal. The following is a partial list of the type of actions that you may not engage in with respect to the Website:
• You shall not impersonate any person or entity.
• You shall not harass any person.
• You shall not express or imply that any statements you make are endorsed by Logos without Logos's explicit prior written consent.
• You shall not use any robot, spider, site search/retrieval application or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Website or its contents.
• You shall not post, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
• You shall not remove any copyright, trademark or other proprietary rights notices contained in the Website.
• You shall not interfere with or disrupt the Website, Member Services or servers or networks connected to the Website or Member Services.
• You shall not post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• You shall not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Website or Member Services.
• You shall not "frame" or "mirror" any part of the Website or Member Services without Logos's prior written authorization. You also shall not use meta tags or code or other devices containing any reference to Logos, the Website or the Member Services in order to direct any person to any other website for any purpose.
• You shall not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Website or any software used on or for the Website or cause others to do so.
10. Blocking of IP Addresses. In order to protect the integrity of the Member Services, Logos reserves the right at any time, in its sole discretion, to block Members from certain IP addresses from accessing the Website and/or the Member Services.
11. Copyright Policy. You may not post, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. If you believe that your work has been copied and posted on the Website in a way that constitutes copyright infringement, please provide Logos's Copyright Agent with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on the Website; your address, telephone number and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf. 12. Privacy. Your privacy is very important to Logos. Logos has designed its Privacy Policy to make important disclosures about how you can use the Member Services to share with others and how Logos may collect and can use your Content and information. We encourage you to read the Privacy Policy and to use it to help make informed decisions.
13. Links. The Website and/or Members may provide links to other World Wide Web sites or resources. Because Logos has no control over such sites and resources, you acknowledge and agree that Logos is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Logos shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance upon, any such Content, goods or services available on or through any such site or resource.
14. Modification of Member Services. Logos reserves the right, at any time and from time to time, to modify the Member Services (or any part thereof) with or without notice. You agree that Logos shall not be liable to you or to any third party for any modification of the Member Services. Logos also reserves the right, at any time, to discontinue the Website. If Logos discontinues the Website, Logos will refund to you any unused Membership fees.
15. LOGOS DISCLAIMERS.
(a) DISCLAIMER REGARDING YOUR INTERACTIONS WITH OTHER MEMBERS. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT LOGOS DOES NOT IN ANY WAY SCREEN ITS MEMBERS, NOR DOES LOGOS INQUIRE INTO THE BACKGROUNDS OF ITS MEMBERS. LOGOS MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF MEMBERS. IN NO EVENT SHALL LOGOS BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL AND/OR INCIDENTAL, ARISING OUT OF AND/OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE MEMBER SERVICES. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER MEMBERS.
(b) Disclaimer Regarding Content Not Generated by Logos. Logos is not responsible for any incorrect or inaccurate content on the Website not generated by Logos, whether such content is posted on the Website by users, Members or by any of the equipment or programming associated with or utilized in the Website. Logos makes no representations or warranties regarding any Website content not generated by Logos, and Logos expressly disclaims any and all liability arising out of and/or relating to any reliance by any party on information or content posted on the Website by users and/or Members.
(c) Disclaimer Regarding Conduct of Users and Members. Logos is not responsible for the conduct, whether online or offline, of any user or Member of the Website.
(d) Disclaimer Regarding Member Communications. Logos assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure or theft or destruction of, unauthorized access to or alteration of user or Member communications.
(e) Disclaimer Regarding Technical Malfunctions. Logos is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to and/or resulting from accessing or downloading materials from or in connection with the Website and/or the Member Services.
(f) Disclaimer Regarding Loss or Damage. Under no circumstances will Logos or any of its affiliates, advertisers, promoters or distribution partners be responsible for any loss or damage, including, without limitation, personal injury or death, resulting from anyone's use of the Website or the Member Services, any content posted on the Website or transmitted to Members, or any interactions between users and/or Members, whether online or offline.
(g) Website and Member Services Provided AS-IS. Logos is providing the website and the member services "AS IS" without any express or implied warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement. Logos expressly disclaims any warranty of merchantability, fitness for a particular purpose or non-infringement. Logos does not guarantee that the website or member services will be safe or secure. Logos cannot and does not guarantee, promise or warrant any specific results from use of the website and/or the member services. Logos attempts to maintain the Website operational, bug-fee and safe, but you use it at your own risk.
(h) Disclaimer Regarding Advice. All users of the Website and the Member Services understand, acknowledge and agree that any advice that may be posted on the Website is for informational and/or entertainment purposes only and is not intended to replace or substitute for any professional financial, medical, legal or other advice.
16. INDEMNITY BY YOU.
YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND LOGOS AND LOGOS'S AFFILIATES, WILLIAM C. CREASY AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES, FROM AND AGAINST ANY AND ALL LOSS, LIABILITIES, CLAIMS AND/OR DEMANDS, INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY'S FEES AND COSTS AND THE FEES AND COSTS OF EXPERTS RETAINED BY AND/OR ON BEHALF OF LOGOS, ARISING OUT OF AND/OR RELATING TO: (A) YOUR USE OF THE WEBSITE AND/OR THE MEMBER SERVICES IN VIOLATION OF THIS AGREEMENT; (B) ANY BREACH BY YOU OF THIS AGREEMENT; AND/OR (C) ANY BREACH OF YOUR REPRESENTATIONS AND WARRANTIES SET FORTH IN THIS AGREEMENT.
17. RELEASE BY YOU.
EACH MEMBER AND OTHER USER OF THE WEBSITE AND/OR THE MEMBER SERVICES RELEASES LOGOS AND ITS AFFILIATES, WILLIAM C. CREASY AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES, FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF AND/OR IN ANY WAY RELATED TO THE USE OF THE WEBSITE AND/OR THE MEMBER SERVICES, INCLUDING, WITHOUT LIMITATION, RELATING TO THE ACTIONS OF THIRD PARTIES AND/OR THE POSTING BY THIRD PARTIES OF CONTENT TO THE WEBSITE.

A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.
18. Charges on Your Billing Account.
(a) General. Logos bills you through an online account (your "Billing Account") for use of the Member Services. You agree to pay Logos all charges at the prices then in effect for any use of the Member Services by you or other persons (including your agents) using your Billing Account, and you authorize Logos to charge your chosen payment provider (your "Payment Method") for the Member Services. You agree to make payment using that selected Payment Method. Logos reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.
(b) Recurring Billing. Most Membership plans consist of an initial period, for which there is a one time charge, followed by recurring period charges as agreed to by you. By becoming a Member, you acknowledge that your Membership has an initial and recurring payment feature, and you accept responsibility for all recurring charges prior to cancellation. LOGOS MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR WRITTEN NOTICE THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED OR AUTOMATIC PAYMENTS MADE BEFORE LOGOS HAD KNOWLEDGE OF YOUR NOTICE OR REASONABLY COULD ACT ON THE NOTICE. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO THE MY ACCOUNT PAGE.
(c) Current Information Required. YOU MUST PROVIDE CURRENT, COMPLETE AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT, ANY YOU MUST PROMPTLY UPDATE ALL INFORMATION (SUCH AS YOUR BILLING ADDRESS, CREDIT CARD NUMBER AND CREDIT CARD EXPIRATION DATE) TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE AND ACCURATE. YOU MUST PROMPTLY NOTIFY LOGOS IF YOUR PAYMENT AUTHORIZATION IS CANCELED OR CHANGED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR USER NAME OR PASSWORD. CHANGES TO SUCH INFORMATION CAN BE MADE AT THE MY ACCOUNT PAGE. IF YOU FAIL TO PROVIDE LOGOS ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT LOGOS MAY CONTINUE CHARGING YOU FOR ANY USE OF THE MEMBER SERVICES UNDER YOUR BILLING ACCOUNT, UNLESS YOU HAVE TERMINATED YOUR MEMBERSHIP IN WRITING IN ACCORDANCE WITH THE PROVISIONS SET FORTH IN SECTION 4 ABOVE.
(d) Payment Method. The terms of your payment will be based on the Payment Method you choose and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method (the "Payment Method Provider"). If Logos does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your Billing Account upon demand.
(e) Change in Amount Authorized. If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or a change in the amount of state sales taxes), you have the right to receive, and Logos shall provide, notice of the amount to be charged and the date of the charge at least ten (10) days before the scheduled date of the transaction. Any agreement you have with your Payment Method Provider will govern your use of your Payment Method. You agree that Logos may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.
(f) Auto-renewal. Your Logos Membership will be automatically extended for successive renewal periods of the same duration as the initial Membership term you originally selected, at the then-current non-promotional Membership rate. To change or cancel your Membership at any time, go to. If you cancel your Membership, you will not be entitled to a refund of any portion of the Membership fee paid for your then-current Membership period, but you may use your Membership until the end of your then-current Membership term. Your Membership will not be renewed after your then-current Membership term expires.
(g) Reaffirmation of Authorization. Your continued use of the Member Services and/or your failure to terminate your Membership reaffirms that Logos is authorized to charge your Payment Method. Logos may submit those charges for payment and you will be responsible for such charges. This does not waive Logos's right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage or as otherwise described when you initially became a Member.
(h) Free Trials and Other Promotions. Any free trial or other promotion that provides Member-level access to the Member Services must be used within the specified time of the trial. You must cancel your Membership before the end of the trial period in order to avoid being charged a Membership fee. If you cancel prior to the end of the trial period and are inadvertently charged for a Membership, please contact Membership Services to have the charges reversed.
19. Customer Service. Logos provides assistance and guidance through its customer care representatives. When communicating with Logos's customer care representatives, you may not be abusive, obscene, profane, offensive, sexist, threatening, harassing or racially offensive, and you may not otherwise behave inappropriately. If Logos believes that your behavior towards any of its customer care representatives or other employees, agents or representatives is at any time threatening or offensive, Logos shall have the right to immediately terminate your Membership, and you will not be entitled to any refund of unused Membership fees.
20. Injunctive Relief. You acknowledge and agree that your breach of this Agreement, and in particular your breach of the proprietary rights of Logos and its affiliates, may cause Logos irreparable harm for which money is inadequate compensation. Accordingly, you agree that Logos shall be entitled to injunctive relief to enforce this Agreement, in addition to damages and other available remedies, and that Logos may seek any and all such relief, in its sole discretion, in any court of competent jurisdiction and/or in the course of alternative dispute resolution as set forth in Section 21 below.
21. Dispute Resolution. Except as set forth in Section 20 above, any and all claims and/or disputes arising out and/or relating to this Agreement, including, without limitation, any dispute relating to the interpretation of this Agreement and/or the rights of the parties to this Agreement (each, a "Dispute"), shall be resolved as follows:
(a) Negotiation. The parties shall attempt to reach an amicable resolution of the Dispute by informal negotiation.
(b) Mediation. If the parties are unable to reach an amicable resolution of the Dispute, the parties shall participate in a mediation of all issues relating to such Dispute. Either party may commence the mediation process. The mediation shall be conducted under the auspices of the
(c) Arbitration. If all issues relating to the Dispute are not resolved by mediation, the parties shall submit the matter to binding arbitration before a sole arbitrator. The arbitration shall be conducted under the auspices of the American Arbitration Association in its
(d) Waiver of Jury Trial. Each Party acknowledges that such party has had the opportunity to be advised by counsel in connection with the execution of this Agreement, and each party acknowledges and understands that such party has waived his, her or its rights to jury trial in the event of a Dispute between the parties.
22. Limitation on Liability.
(a) Except in jurisdictions where such provisions are restricted, in no event will Logos be liable to you or to any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including, without limitation, lost profits arising from your use of the Website or the Member Services, even if Logos has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, Logos's liability to you for any cause whatsoever, and regardless of the form of any action, will at all times be limited to the greater of One Hundred and No/100 Dollars ($100.00) or the amount you have paid Logos for your Membership during the (12) months immediately preceding your Dispute.
(b) IF THE LAW APPLICABLE TO YOU DOES NOT ALLOW A LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOGOS'S LIABILITY TO YOU SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
23. Jurisdiction and Choice of Law. By using the Website and/or the Member Services, you expressly agree that: (a) if there is any Dispute arising out of and/or relating to the Website and/or the Member Services, such Dispute shall be governed by the laws of the State of California, without regard to its conflict of law provisions; and (b) if Logos commences a legal action in connection with a Dispute, you consent to the exclusive jurisdiction and venue of the state and federal courts of the State of California, in San Diego County, for the resolution of any such Dispute.
24. No Third Party Beneficiaries. You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement.
25. Special Provision Applicable to Members Outside the
26. Miscellaneous Provisions.
(a) Successors. This Agreement shall be binding on and shall inure to the benefit of the heirs, executors, administrators, successors and assigns of the Parties hereto.
(b) No Assignment of Member Rights. No Member may transfer or assign any of such Member's rights or obligations under this Agreement to any other person without Logos's prior written consent.
(c) Transfer or Assignment by Logos. The rights and obligations of Logos under this Agreement shall be freely transferrable and assignable by Logos in connection with any merger, acquisition or sale of assets, or by operation of law or otherwise.
(d) Cumulative Remedies. Each and all of the several rights and remedies provided for in this Agreement shall be cumulative. No one right or remedy shall be exclusive of the others or of any right or remedy allowed in law or in equity.
(e) Waiver. Any waiver of any provision of this Agreement must be in writing signed by the party purporting to waive such provision. No written waiver of a breach by Logos in one instance shall be deemed to be a waiver of any preceding or succeeding breach of the same provision or of any other provision. No failure by Logos to enforce any provision of this Agreement shall be deemed to be a waiver of such provision, and no waiver by Logos any right shall be construed as a waiver of any other right. Logos shall not be required to give notice to enforce strict adherence to all terms of this Agreement.
(f) Notices. All notices, demands, consents or requests that may be or are required to be given from any party to another party shall be in writing. Notice shall be given to any Member at the email address for such Member provided by such Member at the time of registration OR by
(g) Invalid Provisions. If any provision of this Agreement is held to be illegal, invalid or unenforceable under present or future laws effective during the term of this Agreement, such provision shall be fully severable, and this Agreement shall be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part of this Agreement. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected by the illegal, invalid or unenforceable provision or by its severance from this Agreement.
(h) Entire Agreement. This Agreement contains the entire agreement between you and Logos regarding the use of the Website and/or the Member Services. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
(i) Acknowledgment. The parties hereto acknowledge that they have read and understand this Agreement and have had the opportunity to make and/or receive a copy of this Agreement.

The Information Collected by Logos
When you visit the Website, you provide Logos with two types of information: (a) personal information you knowingly choose to disclose that is collected by Logos; and (b) Website use information collected by Logos as you interact with the Website.
When you register to become a Member of the Website, you provide Logos with certain personal information, such as your name, your email address, your telephone number, your address, and any other personal or preference information that you choose to provide to us.
When you enter the Website, Logos collects your browser type and IP address. This information is gathered for all visitors to the Website. You post Member Content (as defined in the Logos Bible Study Terms of Use Agreement) on the Website at your own risk. Although the Website allows you to set personal preferences, please be aware that no security measures are perfect or impenetrable. Logos cannot control the actions of other Users with whom you may choose to share your pages and information. Therefore, Logos cannot and does not guarantee that Member Content you post on the Website will not be viewed by unauthorized persons. If you choose to use Logos's invitation service to tell a friend about our Website, we will ask you for information needed to send the invitation, such as your friend's email address. Logos will send your friend an email or instant message in your name inviting him or her to visit the Website, and Logos may send up to two reminders to them. Logos stores this information to send invitations and reminders, to register a friend connection if your invitation is accepted, to allow you to see invitations you have sent, and to track the success of our referral program. Use of Information Obtained by Logos
When you register as a Logos Member, you create your own profile and preference settings. Your profile information may be displayed to enable you to connect with people on the Website. Logos may occasionally use your name and email address to send you notifications regarding new services offered by Logos that we think you may find valuable.
Profile information is used by Logos primarily to be presented back to and edited by you when you access the Member Services and to be presented to others permitted to view that information as determined by your preference settings.
Logos may send you Member Services-related announcements from time to time through the general operation of the Member Services. Generally, you may opt out of such emails from the My Account page, although Logos reserves the right to send you notices about your Membership account even if you opt out of all voluntary email notifications.
Logos may use information in your profile without identifying you as an individual to third parties. Logos does this so it can aggregate preferences and personalize advertisements and promotions so that Logos can provide the Website to you. Logos believes this benefits you. You can know more about the world around you and, if there are advertisements, they're more likely to be interesting to you.
Sharing Your Information with Third Parties
Logos is about education and building a community around bible study — while providing you with preference settings that restrict other users from accessing your information. We share your information with third parties only in limited circumstances where we believe such sharing is: (1) reasonably necessary to offer the Member Services; (2) legally required or; (3) permitted by you. For example:
? Logos may provide information to service providers to help us bring you the Member Services we offer. Specifically, Logos may use third parties to facilitate its business, such as to host the Member Services at a co-location facility for servers, to send out email updates about Logos, to remove repetitive information from our user lists, to process payments for products or services, to offer an online job application process, or to provide search results or links (including sponsored links). ? Logos provides 30-Day Trial accounts that allow non-Members a glimpse into the Logos Website world. Such accounts have only limited capabilities (e.g., messaging is disabled), and passwords are changed regularly to limit possible misuse.

Third Party Advertising
Advertisements that appear on Logos are sometimes delivered (or "served") directly to users by third party advertisers. They automatically receive your IP address when this happens. Changing or Removing Information

Individuals who wish to deactivate their Logos Membership accounts may do so on the My Account page. Removed information may persist in backup copies for a reasonable period of time, but will not be generally available to Logos Members.
Security
Logos takes appropriate precautions to protect its users' information. Your Membership account information is located on a secured server behind a firewall. When you enter sensitive information (such as a credit card number or your password), Logos encrypts that information using secure socket layer technology (SSL). Logos Payment Terms

When you make payments through Logos, you agree to these Payment Terms.
1. Making Purchases
(a) When you confirm a transaction on the Website, you agree to be bound by and pay for that transaction.
(b) Pay attention to the details of the transaction, because your total price may include taxes, fees and shipping costs, which you are responsible for paying. Membership fees are automatically renewed and charged to your card until you cancel your service from the My Account page.
(c) Don't commit to a transaction unless you are ready to pay, because all sales are final.
(d) If you order something that becomes unavailable before it can be provided to you, your only remedy is to receive a refund of your purchase price.
(e) When you "purchase" a virtual gift or coupon, Logos commits to posting the gift and any accompanying message from you on the recipient's profile (or sharing it privately if you choose). Logos's obligation ends when we deliver the gift and message.
(f) You may be presented with additional terms related to a specific purchase before you confirm the transaction (such as shipping terms for tangible goods). Those additional terms will also govern that transaction.
(g) Even though the Website uses terms like "purchase," "buy," "sell" and "order" to talk about transactions related to virtual gifts and credits, Logos does not transfer any ownership interest in those items. For example, the virtual gifts made available through the Website gift shop are licensed to you, not sold.
(h) LOGOS MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY PRODUCTS OR SERVICES SOLD ON OR THROUGH THE WEBSITE.
2. Payment Sources
Logos wants to make payments convenient, so Logos allows you to make payments using a number of different payment sources, like credit cards and debit cards.
(a) When you provide a payment source to us, you confirm that you are permitted to use that payment source. You also authorize us to collect and store it, along with other related transaction information.
(b) When you make a payment, you authorize us (and our designated payment processor) to charge the full amount and any recurring fee to the payment source you designate for the transaction.
(c) If you pay by credit or debit card we may obtain a pre-approval from the issuer of the card for an amount up to the amount of the purchase. We will bill your card at the time of purchase or shortly thereafter. If you cancel a transaction before completion, that pre-approval may result in your funds not otherwise being immediately available.
(d) If you pay by debit card and your payment results in an overdraft or other fee from your bank, you alone are responsible for that fee.
3. Actions We May Take
As part of our effort to keep Logos safe, we may take certain actions to reduce liability for users and us.
(a) Logos may make any inquiries that we consider necessary, either directly or through third parties, concerning your identity and creditworthiness.
(b) Logos may cancel any transaction if we believe the transaction violates these Logos Terms of Use Agreement, or we believe doing so may prevent financial loss.
(c) Logos may place a delay on a payment for a period of time, limit payment sources for a transaction, limit your ability to make a payment or deactivate your Membership account if Logos believes doing so may prevent financial loss.
(d) Logos may contact your payment source issuer, law enforcement, or impacted third parties (including other users) and share details of any payments you are associated with if we believe doing so may prevent financial loss or a violation of law.
4. Disputes and Reversals
(a) If you believe that an unauthorized or otherwise problematic transaction has taken place under your account, you agree to notify us immediately, so that we may take action to prevent financial loss.
(b) To the fullest extent permitted by law, you waive all claims against us related to payments unless you submit the claim to us within 30 days after the charge.
(c) You are responsible for and agree to reimburse us for all reversals, charge-backs, claims, fees, fines, penalties and other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted.
(d) If you enter into a transaction with a third party and have a dispute over the goods or services you purchased we have no liability for such goods or services. Our only involvement with regard to such transaction is as a payment agent.
(e) Your only remedy for a technical failure or interruption of service is to request that your transaction be completed at a later time.
5. Notices and Amendments to These Payments Terms
(a) We may provide notices to you by posting them on the Website, or by sending them to an email address or street address that you previously provided to Logos. Notices posted on the Website shall be effective immediately upon posting. Notices emailed to you shall be effective immediately upon transmission of the email. Notices sent by mail shall be deemed received by you and shall be effective three (3) business days after mailing.
(b) Except as otherwise stated, you must send notices to us relating to payments and these Payment Terms by postal mail to: Logos Educational Corporation,
(c) The Payment Terms in place at the time you confirm a transaction will govern that transaction.
(d) We may change these Payment Terms, in whole or in part, even though the changes may affect accumulated credits. All amendments to these Payment Terms will be made pursuant to the agreement version currently posted on the Website.
6. Other
(a) All of the commitments you make in the Logos Terms of Use apply to payments through Logos. In the event of any conflict between these Payments Terms and the Logos Terms of Use, the Payments Terms shall prevail.
(b) If you are under the age of 18, you may make payments only with the involvement of a parent or guardian. You should review these Payments Terms with a parent or guardian to make sure that you both understand them.
(c) "Us," "we," "our," "claim" and "Logos" mean the same as they do in the Terms of Use.
(d) Some countries may restrict or prohibit your ability to make payments through Logos. Nothing in these Payments Terms should be read to override or circumvent any such foreign laws.
